Printer Giant Lexmark to Acquire Kofax for $1 Billion

KofaxHomepage

Kofax creates mobile and web solutions made to simplify customer interactions. The California-based company announced today it has been acquired by Kentucky-based Lexmark International, a global corporation with approximately $3.8 billion in revenue.

Kofax’s Board of Directors, which accounts for 25% of the company’s shareholders, unanimously voted in favor of the merger. Lexmark will pay $11 per share in cash for all outstanding shares of Kofax, for a total value of $1 billion (net of cash acquired).

Lexmark is well-known for its hardware, such as printers, copiers, and fax machines. The company also distributes document imaging and electronic form software, under the brand Perceptive Software, that competes with Kofax’s offerings. Scott Coons, Perceptive Software president and CEO and Lexmark VP states:

“The combination of Perceptive Software and Kofax solutions strengthens the breadth and depth of our offering, giving us an… ability to help customers… connect unstructured information to their systems of record.”

Additionally, Lexmark anticipates the acquisition will expand its reach to mid-market business customers. Kofax has 20,000 customers and 850 channel partners across the globe.

When the acquisition closes in Q2 of 2015, Lexmark will double the size of the software branch of its business.

Kofax was founded in 1985. Reynolds Bish is CEO. The company last demoed at FinovateSpring 2014 where it debuted its Mobile Capture Platform. Kofax won Best of Show at FinovateAsia 2013 in Singapore.

No Need to Fax: Kofax Launches E-Signature Solution, SignDoc

KofaxLogo.jpg

Nobody reacts positively when asked to print a form, sign it, and fax it back. Fax? Fortunately, Kofax, a company that aims to simplify digital customer interactions, is here to help.

Today, the California-based company announced a new set of e-signature solutions, SignDoc, that enables FIs to design, deploy, and manage custom e-signature workflows. The two versions include:

KofaxSignDoc.jpg

    • SignDoc Standard, a stand-alone solution for self-service needs
    • SignDoc Enterprise, a solution in which FIs can embed advanced capabilities into the workflow. It is integrated with Kofax TotalAgility, a process automation platform.

Since SignDoc keeps all document interaction in a PDF reader, users have access to a complete audit trail. Institutions can view any document tampering without the need to contact Kofax or access an external site.

SignDoc supports click-to-sign, handwritten signatures, and offers the option to add a higher level of authentication by capturing biometrics at the time of signature.

Kofax took the stage at FinovateSpring 2014 where it demonstrated how its Mobile Capture Platform works with gift cards.

Mobile imaging software company, Kofax, recently announced it acquired Softpro, a company that specializes in fraud prevention and e-signature, for $35 million.

As part of the deal, California-based Kofax paid Germany-based Softpro $31.2 million in cash when the transaction closed on Monday. To complete the purchase, it will pay the remaining $3.5 million in three batches over the next two years.

KofaxScreenshot

Softpro’s e-signature software, SignDoc, processes 200 million electronic signatures every year, and boasts two major features:

1) Click-to-sign
2) Physical signature capture

With SignDoc added to Kofax’s quiver, services that require a contract, such as account opening, loan or mortgage applications, can be carried out entirely on the digital channel.

Kofax last presented at FinovateSpring 2014 where it debuted its retail gift card balance solution.

Kofax’s New Mobile Capture Platform Helps Customers Check the Balance of Their Gift Cards

This post is part of our live coverage of FinovateSpring 2014.
Then, Kofax demonstrated how it is making it easier to check balances on retail gift cards:
“Kofax is demonstrating how its new Mobile Capture Platform can help customers automate the process of checking balances on their retail gift cards. The demonstration shows how retailers can enable virtually any smartphone or tablet to hover over a card, detect it, automatically identify the vendor, and immediately display the available balance.
The solution makes gaining access to gift card information more convenient for gift card issuers. It also gives vendors a cost effective tool that helps them deliver better service and faster transactions to increase customer satisfaction.”
